These terms govern your use of Parse Labs' agentic AI business intelligence platform and related services.

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your use of Parse Labs Ltd's agentic AI business intelligence platform and related services ("Service"), accessible at www.getparse.io and app.getparse.io, operated by Parse Labs Ltd, a company incorporated in England and Wales with company number 16268605 and registered office at 3-7 Temple Avenue, C/O Jamieson Alexander Legal, London, United Kingdom, EC4Y 0DB ("Parse Labs," "we," "us," or "our").
By accessing or using our Service, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.
2. Service Description
Parse Labs provides an AI-powered business intelligence platform that:
- Connects to various business tools and data sources via API integrations
- Analyzes organizational data using artificial intelligence and machine learning
- Generates insights, metrics, and recommendations through automated agents
- Delivers executive-level business intelligence reports and dashboards
CRITICAL DATA PROCESSING NOTICE
Our Service utilizes third-party large language models (LLMs) and AI systems to process your data. YOUR DATA WILL LEAVE OUR COMPANY and be transmitted to, processed by, and potentially stored on external AI service providers' systems. This may include providers located outside the United Kingdom and European Economic Area.
3. Data Processing and Privacy
3.1 Data Controller/Processor Relationship
- For personal data of your employees/users: You act as Data Controller, we act as Data Processor
- For your account and billing data: We act as Data Controller
- All processing complies with the UK General Data Protection Regulation (UK GDPR), Data Protection Act 2018, and applicable UK data protection laws
3.2 Third-Party AI Processing
YOU EXPRESSLY ACKNOWLEDGE AND CONSENT THAT:
- Your business data will be transmitted to and processed by third-party AI/LLM providers
- These providers may be located outside the UK and EEA
- Data may be temporarily or permanently stored on external AI systems
- We implement appropriate safeguards including International Data Transfer Agreements where required
- We cannot guarantee that AI providers will not retain copies, traces, or learnings from your data
- AI processing may involve automated analysis of sensitive business information
3.3 Types of Data Processed
We may process and transmit to AI systems:
- Business metrics and KPIs from connected applications
- Financial data from accounting and revenue systems
- Project and operational data from management tools
- Customer data from CRM and support platforms
- Employee data necessary for system operation and insights
- Usage analytics and system performance data
- Communications and support interactions
3.4 Data Security and International Transfers
- We use appropriate technical and organizational measures to protect data
- International transfers are subject to adequacy decisions or appropriate safeguards
- We maintain Standard Contractual Clauses with AI providers where applicable
- You acknowledge that absolute security cannot be guaranteed for data processed by third parties
3.5 Data Retention
- Active data: Retained while your account is active and for legitimate business purposes
- Deleted data: We will delete your data within 90 days of account termination
- AI provider retention: We cannot control how long third-party AI systems retain your data
- Legal hold: Some data may be retained longer where required by law
- Backup data: May be retained for up to 12 months for disaster recovery
3.6 Your Rights Under UK GDPR
You have the right to:
- Access your personal data and copies held by us
- Rectify inaccurate or incomplete data
- Erase your data ("right to be forgotten") - subject to AI provider limitations
- Restrict processing under certain circumstances
- Data portability in machine-readable format
- Object to processing for legitimate interests
- Lodge complaints with the Information Commissioner's Office (ICO)

4. User Obligations and Acceptable Use
4.1 Account Security
You are responsible for:
- Maintaining confidentiality of all account credentials
- All activities occurring under your account
- Immediately notifying us of any unauthorized access
- Ensuring your team members comply with these Terms
4.2 Data Submission Warranties
You warrant that:
- You have lawful authority to submit all data to our Service
- Your data submission complies with all applicable privacy laws
- You have obtained necessary consents for AI processing of personal data
- Your data does not violate any third-party intellectual property rights
- You will not submit illegal, harmful, or malicious content
4.3 Prohibited Uses
You may not use our Service to:
- Violate any UK or international laws or regulations
- Process personal data without proper lawful basis under UK GDPR
- Infringe intellectual property or proprietary rights
- Transmit malware, viruses, or other harmful code
- Attempt to reverse engineer, decompile, or hack our Service
- Submit false, misleading, or fraudulent information
- Interfere with other users' access to the Service
- Use the Service for competitive intelligence against us
5. Intellectual Property
5.1 Our Intellectual Property
Parse Labs retains all rights, title, and interest in:
- The Service platform, software, and algorithms
- Our proprietary AI agents and analytical methodologies
- The Parse Labs brand, trademarks, and service marks
- Generated insights and analytical models (excluding your underlying data)
- Any improvements or enhancements to the Service
5.2 Your Data Ownership
You retain full ownership of your business data. You grant us a limited, non-exclusive license to:
- Process your data solely to provide the Service
- Transmit your data to AI providers for processing
- Create anonymized, aggregated insights for service improvement
- Store and backup your data for service delivery
5.3 Feedback and Suggestions
Any feedback, suggestions, ideas, or improvements you provide become our exclusive property and may be used without restriction or compensation.
6. Service Availability and Support
6.1 Service Level Commitment
We aim for 99.5% uptime excluding scheduled maintenance. We may suspend service for:
- Scheduled maintenance (with 24 hours' notice when possible)
- Emergency maintenance or security updates
- Technical issues beyond our reasonable control
- Suspected security breaches or policy violations
- Non-payment of fees

Response Times:
- Critical issues: 4 business hours
- General inquiries: 24 business hours
- Feature requests: 5 business days
6.3 Service Updates
We may modify, update, or discontinue features with reasonable notice. Major changes will be communicated at least 30 days in advance.
7. Fees, Payment, and Billing
7.1 Subscription Fees
- Fees are charged in advance according to your chosen billing cycle
- All prices are exclusive of VAT and other applicable taxes
- We may increase prices with 30 days' written notice
- Fees are non-refundable except as required by law
7.2 Payment Terms
- Payment is due immediately upon invoice
- We accept major credit cards and bank transfers
- Accounts overdue by 7 days may be suspended
- We may charge interest on overdue amounts at 4% above Bank of England base rate
7.3 Taxes and Duties
You are responsible for all applicable VAT, duties, and governmental charges related to your use of the Service.
8. Limitation of Liability and Disclaimers
8.1 Service Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY ENGLISH LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WE DO NOT WARRANT THAT AI-GENERATED INSIGHTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR BUSINESS DECISIONS
- WE CANNOT GUARANTEE THE SECURITY OR CONFIDENTIALITY OF DATA PROCESSED BY THIRD-PARTY AI SYSTEMS
8.2 Limitation of Damages
PARSE LABS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION OR SYSTEM DOWNTIME
- UNAUTHORIZED ACCESS TO OR DISCLOSURE OF DATA BY AI PROVIDERS
- DECISIONS MADE BASED ON SERVICE OUTPUTS OR AI-GENERATED INSIGHTS
- COSTS OF SUBSTITUTE PRODUCTS OR SERVICES
8.3 Maximum Liability
Our total aggregate liability for all claims shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
8.4 Statutory Rights
Nothing in these Terms excludes or limits liability that cannot be excluded under English law, including:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Statutory consumer rights under the Consumer Rights Act 2015
9. Indemnification
You agree to indemnify, defend, and hold Parse Labs harmless from and against all claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms or applicable laws
- Your breach of any representation or warranty
- Infringement of third-party rights by your data or content
- Claims related to your data being processed by AI systems
- Your failure to obtain proper consents for data processing
10. Termination
10.1 Termination by You
You may terminate your account at any time by:
- Providing 30 days' written notice to hello@getparse.io
- Cancelling through your account settings
- All fees paid remain non-refundable
10.2 Termination by Us
We may terminate or suspend your account immediately for:
- Material breach of these Terms
- Non-payment of fees after 7 days' notice
- Fraudulent, illegal, or harmful activity
- Violation of AI provider terms that affect our service
- Extended periods of account inactivity (12+ months)
10.3 Effect of Termination
Upon termination:
- Your access ceases immediately
- We will use commercially reasonable efforts to delete your data within 90 days
- We cannot guarantee deletion of your data from third-party AI systems
- Outstanding fees remain due and payable
- You must immediately cease using the Service
- Sections 5, 8, 9, 11, and 12 survive termination
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with English law.
11.2 Jurisdiction
The courts of England and Wales have exclusive jurisdiction over any disputes arising from these Terms.
11.3 Alternative Dispute Resolution
Before initiating court proceedings, we encourage resolution through:
- Direct negotiation between parties
- Mediation through the Centre for Effective Dispute Resolution (CEDR)
11.4 Consumer Rights
If you are a consumer, nothing in these Terms affects your statutory rights under UK consumer protection laws.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any signed order forms, constitute the entire agreement between the parties.
12.2 Amendments
We may modify these Terms by:
- Providing 30 days' notice via email or platform notification
- Posting updated Terms at www.getparse.io
- Continued use after notice constitutes acceptance
12.3 Severability
If any provision is found unenforceable by a court, the remainder of these Terms remains in full force and effect.
12.4 Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, or government actions.
12.5 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
12.6 Waiver
Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.
12.7 Third-Party Rights
No third party has any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.
